Job Title: Assistant Company Secretary
Location: Dublin city
Contract: Permanent
Abrivia recruitment are seeking an Assistant Company Secretary for their client, a leading Irish Insurance company, based in Dublin City. The successful candidate will provide Company Secretarial support to the Board of Directors and Board Sub-committees, with particular focus on Board Committee and AGM Support, Corporate Governance and managing key stakeholder relationships.
Key Responsibilities:
- Attend Board & Sub-Committee Meetings to transcribe accurate and comprehensive minutes, record resolutions and approvals.
- Support the hosting of General, Board and Committee Meetings processes – including corresponding with internal and external stakeholders.
- Monitor changes in company law, regulation and corporate governance and engage and assist with in the undertaking of legal research and reviews.
- Maintain and update internal database and statutory registers to reflect any relevant changes in corporate information.
- Drafting policies and processes that support the development of governance frameworks.
- Maintain and update Company Secretarial processes.
- Ensure effective communication and compliance with corporate policies.
- From time to time assisting with Sustainability and ESG matters particularly as they pertain to Governance.
Experience:
- Bachelor’s degree in business, or Law and a company secretarial qualification.
- Min 2years’ experience in a company secretarial or corporate governance role, preferably from financial services.
- Strong knowledge of Irish company law in general and particularly the Companies Act 2014.
- Strong knowledge of corporate governance regulations and best practices.
- Excellent organisational and communication skills.
- Attention to detail and the ability to work independently.
- Proficiency in Microsoft Office Suite.
- Knowledge of Board Reporting Platforms
