Job Title: Deputy Company Secretary
Location: Dublin city centre
Abrivia recruitment are looking for a talented and dedicated Deputy Company Secretary for their client, a Global Insurance Group, based in Dublin City. You will support the Company Secretary and executive team to maintain the highest standards of corporate governance and compliance with all relevant laws and regulations. This role will be offered on a hybrid model with at least two days in the office.
Key Responsibilities:
- Assist in the preparation and filing of statutory returns and regulatory submissions.
- Support with the Coordinating of board and committee meetings, including the preparation of agendas, minutes, and related documentation.
- Arrange for the execution of documents as required, including sealing, apostilling and notarisation in the absence of the company secretary.
- Maintain and update internal database and statutory registers to reflect any relevant changes in corporate information.
- Monitor changes in corporate governance regulations and advise the executive team on compliance matters.
- Deputise in the absence of the Company Secretary, including attendance at and minuting of Executive Committee meetings.
- Responsible for the maintenance and bi-annual review of the Company Secretarial Manual, reflecting any new or updated processes and procedures.
- Collaborate with internal stakeholders to ensure effective communication and compliance with corporate policies.
- Support the Company Secretary in managing relationships with regulatory bodies, auditors, and legal advisors.
Experience:
- ICSA qualification or bachelor’s degree in business, compliance, or a legal qualification with company secretarial experience.
- Min 4 years’ experience in a company secretarial or corporate governance role, preferably from Insurance or Financial services.
- Strong knowledge of Irish company law in general and particularly the Companies Act 2014.
- Strong knowledge of corporate governance regulations and best practices.
- Excellent organisational and communication skills.
- Attention to detail and the ability to work independently.
- Proficiency in Microsoft Office Suite.
- Knowledge of Diligent Board Books and Diligent Entities an advantage.
